SOC2, FINRA, and AI: What Financial Services Firms Need to Know

Financial services firms are among the most constrained environments for AI adoption—and among the most incentivized to automate. The compliance burden is significant, but so is the operational overhead that AI can reduce.

The challenge isn’t whether AI can help financial services firms. It clearly can. The challenge is implementing it in a way that satisfies FINRA, SEC, SOC 2, and state regulatory requirements—while managing client data responsibly and maintaining the audit trails that regulators require.

FINRA and SEC Rules

The Financial Industry Regulatory Authority and Securities and Exchange Commission have been developing AI guidance as adoption accelerates. Key considerations:

Books and Records Requirements (SEC Rule 17a-4, FINRA Rule 4511) All communications and records related to client accounts and transactions must be preserved in a manner that allows for regulatory review. If AI agents are communicating with clients, those communications are subject to these requirements—and must be archived accordingly.

Supervision Requirements (FINRA Rule 3110) Firms must supervise AI systems that generate client communications or recommendations in the same way they supervise registered representatives. The “black box” defense—“the AI decided”—does not satisfy supervisory obligations.

Best Interest Standard (Reg BI) Any AI that produces client-facing recommendations must be aligned with best interest standards. AI that automates recommendations without appropriate disclosures and controls creates Reg BI exposure.

Marketing and Advertising Rules Testimonials, performance claims, and marketing content generated by AI are subject to the same rules as human-produced marketing materials. AI-generated content isn’t exempt from substantiation requirements.

SOC 2 Compliance

SOC 2 (Service Organization Control 2) is the primary security and availability framework for financial services vendors. If you’re a financial services firm using third-party AI vendors, those vendors should be able to produce a SOC 2 Type II report.

SOC 2 covers five Trust Service Criteria:

  • Security — Protection against unauthorized access
  • Availability — System uptime and performance
  • Processing Integrity — Accurate, complete processing
  • Confidentiality — Protection of confidential information
  • Privacy — Collection and use of personal information

Ask any AI vendor for their SOC 2 Type II report before integrating them into workflows that handle client data.

State Privacy Laws

In addition to federal requirements, financial services firms must navigate state-level privacy laws—particularly California’s CCPA and CPRA, New York’s SHIELD Act, and growing state-level AI regulations. Multi-state practices need to evaluate each jurisdiction’s requirements.

Gramm-Leach-Bliley Act (GLBA)

GLBA requires financial institutions to protect the security and confidentiality of nonpublic personal information (NPI). Any AI system handling client financial data must comply with GLBA’s Safeguards Rule, which includes specific requirements for:

  • Access controls and authentication
  • Encryption of data in transit and at rest
  • Risk assessment and monitoring
  • Vendor management (including AI vendors)

Where AI Automation Creates Value in Financial Services

Despite the compliance complexity, there are clear use cases where AI delivers significant operational value with manageable compliance requirements:

Client Onboarding and KYC/AML

AI agents can automate the document collection, identity verification coordination, and data entry components of KYC/AML onboarding—reducing processing time from days to hours while maintaining complete audit logs.

Compliance Architecture for AI in Financial Services

Building a compliant AI deployment in financial services requires several architectural decisions:

Audit Logging Every AI interaction—inputs, outputs, timestamps, user IDs—must be logged in a format that satisfies SEC and FINRA recordkeeping requirements. This is non-negotiable and must be designed in from the start.

Communication Archiving Client-facing AI communications must be captured in your records management system, treated the same as email or written correspondence.

Human Supervision Layer For any AI that produces client-facing content or recommendations, a supervision workflow—review, approval, override—must exist. Document this workflow and train staff accordingly.

Data Residency and Vendor Assessment Map every data flow. For each third-party AI vendor, obtain SOC 2 reports, review data use policies, and execute appropriate DPAs or BAAs. For sensitive data, consider on-premise deployment.

Model Risk Management Firms with significant AI exposure should implement model risk management practices—validating AI outputs, monitoring for drift, and maintaining documentation of model design and testing.
